Spice Trading Contracts: The Clauses That Protect You

The essential clauses in a spice or coffee trade contract — product and specification, quantity tolerance, price, Incoterms, shipment, payment, quality claims, force majeure and arbitration.

Editorial disclosure: Pyalm publishes and maintains the products and free tools discussed on this site. Regulatory statements are linked to primary sources where applicable. No independent professional review is claimed unless a reviewer is explicitly named.

A clear contract prevents most disputes, and settles the rest quickly. Whether you buy or sell, make sure these clauses are in writing.

Trade guidance only, not legal or financial advice. Agree specifications and terms in writing, and take professional advice for large contracts.

Essential clauses

Clause What to include
Parties Full legal names, addresses, registration numbers
Product Name, origin, grade, crop year
Specification Measurable limits: moisture, purity, density, size, safety
Quantity Amount plus tolerance (e.g. ±5% at seller's option)
Packing & marking Bag type, weight, labels, marks
Price Unit price, currency, Incoterm and named port
Shipment Period, ports, partial shipments allowed or not
Payment Method, timing, documents required
Documents Full list and who issues each
Quality & inspection Who inspects, where, and which result is final
Claims How and when claims must be raised, with evidence
Force majeure Events that excuse delay (weather, port closures, government bans)
Dispute resolution Arbitration or courts, and governing law

Common mistakes

  • Using only a grade name with no measurable specs
  • No tolerance on quantity
  • Unclear which inspection result is final
  • No deadline for quality claims
  • Payment terms that don't match the documents

Standard contracts

Many commodity sectors use standard contract forms from trade associations. Ask your counterparty which forms they use, and take legal advice for large or long-term contracts.
